Notice on the alteration in Memorandum of Association

NOTICE TO MEMBERS

Members are hereby informed that the Company has on January 31, 2007 completed the dispatch of a notice under Section 192A of the Companies Act, 1956 along with the Postal Ballot Form and a self addressed business reply envelope (For which postage will be paid by the Company) in relation to a Special Resolution under Section 17 of the Companies Act, 1956 seeking Members' consent for alteration in Object Clause of the Memorandum of Association of the Company.

The Board of Directors of the Company has appointed Dr. S Chandrasekaran, a Practicing Company Secretary, as the Scrutinizer for conducting the Postal Ballot Process in a fair and transparent manner. Members are requested to note that the Postal Ballot Form duly completed and signed should reach the Scrutinizer not later than the close of working hours on Monday, March 12, 2007. All Postal Ballot Forms received after the said date will be treated as if reply from such Members has not been received.

A Member may request for a duplicate Postal Ballot Form if so required.

The Voting rights of the Members shall be reckoned on January 19, 2007, which is the cut off date.
